Plan a paid B2B subscription
Start with one seller, one customer market and one monthly Hub service. This chapter compares candidate structures and payment methods as of 4 November 2026. A test checkout can validate the software. Production approval depends on the actual company, beneficial owners, place of management, customer location and settlement account.
Choose a seller before choosing a processor
| Candidate | Formation and ongoing obligations | Fit for the pilot |
|---|---|---|
| Existing business in the founder's operating country | Obtain a local quote for registration, bookkeeping and invoice compliance. Confirm the right to operate, tax residence and ability to receive the proposed settlement currency. | First choice if the actual business and buyer pass provider onboarding. A foreign company adds administration and can leave home-country obligations in place. |
| Estonian OÜ managed by a nonresident | For the e-resident route, Estonia lists €150 for the application and €265 for online registration. A contact-person service typically costs €200–400/year where needed. Accounting starts around €50/month. Budget share capital separately. The annual report is due within six months of financial year end, including inactive years. Management abroad can create taxable presence there. Government fees · Reporting · Tax authority guidance | A candidate for genuine EU operations. Stripe lists Estonia in private preview for stablecoin acceptance. BitPay currently pauses new EEA merchant onboarding. Obtain written product eligibility or use an approved fiat rail. Stripe locations · BitPay onboarding |
| Wyoming LLC with a foreign owner | State formation costs $100. The annual report license tax is at least $60, or 0.0002 of applicable Wyoming assets if greater. A registered agent needs a physical Wyoming address. Budget the agent and tax preparer separately. A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. The initial failure penalty is $25,000. State fees · Agent requirements · IRS instructions | A candidate for a genuine US business and US B2B demand, subject to processor and bank underwriting. Wyoming is inside BitPay's US invoicing footprint. Obtain home-country advice on management, personal taxes and the treatment of the LLC before forming it. US service limits |
The approved network pilot has a hard $0 infrastructure budget. Use existing eligible equipment or simulate the network before incurring any new hosting charge. Company formation, accounting, processor fees, taxes and owner capital have separate costs. A free demo does not fund a commercial launch. Network plan
Choose how the next month gets paid
- Customer pays each renewal. BitPay can schedule a bill each month. The buyer opens it and pays the new invoice. A qualified US merchant can request conversion to fiat or select an available USDC settlement option. For a Wyoming seller and a Wyoming business customer, US invoicing is within the published state footprint. Confirm their actual operating locations, wallet support and settlement method during underwriting. The USDC network shown at checkout governs the transfer. BitPay's lowest-volume pricing tier is 2% plus $0.25, or $0.85 on a $30 invoice before exceptions or other costs. Recurring bills · Supported assets · Settlement · Fees
- Customer authorizes recurring wallet collection. Stripe documents saving a supported wallet and authorizing subsequent subscription payments. A US merchant's Stripe balance settles in USD. Customers can receive full or partial refunds in stablecoins at their original wallet. The general method lists US merchants and a private preview including the EU. Confirm recurring capability, supported networks and shopper eligibility on the actual account before promising automatic renewal. Wallet authorization · Eligibility, settlement and refunds
- Merchant of record. Paddle offers subscriptions for approved software sellers and takes responsibility for collecting and remitting applicable transaction taxes on its sales. A seller still needs to account for its own income and payouts. Use its published payment-method matrix or written confirmation if USDC checkout or payout is essential. For a small pilot, sell the operator's own hosted service to one verified business. Agree on price, billing currency, service period, cancellation date, renewal method, support and refund terms. Prefer fiat settlement when customers need to pay with USDC but the business does its books in fiat. If receiving USDC is a business requirement, choose an eligible provider and separately approve the destination wallet, valuation method and custody controls. Taking money on behalf of third-party tool publishers changes the business model and requires a new regulatory review. FinCEN guidance on payment models
Establish tax treatment
Record the seller of record, contract owner, actual place of business, buyer establishment and tax identifier. Ask a qualified adviser in the affected markets to confirm the service classification, thresholds, registration, invoice wording, currency conversion and retention period. A wallet address alone provides insufficient evidence of a buyer’s business status or location. The OECD uses different location and collection rules for remote B2B and B2C supplies. For an EU business supplying services to a qualifying business in another EU country, reverse charge usually applies, with exceptions. Reassess before opening consumer sales or new countries. OECD VAT/GST Guidelines · EU cross-border VAT
For each invoice reconcile gross price, tax, fees, refund and net settlement. If the business receives tokens, retain the asset, network, quantity, transaction identifier, timestamp and contemporaneous fiat valuation. For example, the IRS requires US-dollar fair market value records for digital assets received as business payment. Use the accounting rules of the actual seller. IRS digital asset records
Sandbox and operator acceptance
The optional Stripe adapter creates a hosted test subscription checkout for one operator-selected monthly USD price. Configure the test webhook for snapshot invoice.paid events using API version 2026-10-28.endive. A verified receipt records a historical test invoice for its account. A later refund or cancellation is a separate lifecycle event. The pilot grants no production entitlement. The sandbox allows eight distinct checkout intents per account and 48 per installation, within a 48 KiB protected ledger payload. Sandbox account setup · Checkout Sessions API
Use a fixed test price and synthetic business account. A checkout redirect is a return to the UI. The billing authority must separately verify a provider payment before displaying a receipt. Keep payment credentials and raw webhook payloads out of logs, Git and MCP tool results. Keep billing events on a narrow endpoint, separate from Docker administration.
- Bind the server-selected price, currency, period and customer to a checkout intent. A retry with the same idempotency key must resolve to the same intent.
- For Stripe, verify the signature and timestamp against the raw request bytes and reject live events in the sandbox. For a future BitPay integration, notifications are unsigned. Use the ID only as a signal and fetch the invoice from the provider with merchant credentials. Accept a matching completed invoice. Stripe webhooks · BitPay invoice notifications
- Test duplicated and reordered messages, a failed renewal, partial payment, a mismatched price and a refund. Expose verified test invoice status to the correct account. Infrastructure quotas and deployment authorization remain separate from this test.
- A production operator needs a reconciliation queue, audit history, expiry/cancellation controls and a documented refund process. Require a refund reference and verify the provider's final status before posting a credit. For BitPay, network charges may apply. Subscription events · BitPay refund charges
Before a production launch, record the founder's actual tax residence and management location, existing entity and beneficial ownership, paying customers' countries and states, B2B evidence, expected turnover, supported settlement asset and provider approval. The operator can complete the technical pilot with synthetic events while these decisions are pending.
